Metal Technology Co. Ltd. (headquarters: Nakano-ku, Tokyo) is participating in the capital of Tohoku Seimitsu Co. Ltd. (headquarters: Kitakami, Iwate Prefecture), whose core operations consist of the design and assembly of semiconductor production equipment (SPE). DBJ acted as an advisor to Metal Technology up to the signing of the capital participation agreement.
Metal Technology is a comprehensive method processing company that handles the high-temperature, high-pressure sintering of metal and ceramics and processes high-value-added products using a hot isostatic pressing device that welds metals together and a vacuum heat treatment furnace. On the other hand, the mainstay of Tohoku Seimitsu is SPE design and assembly. Metal Technology, backed by the cooperation of its business partners and various public organizations, has undertaken the improvement of metal materials, welding technologies, and new processing technologies and has recently expanded its business operations.
The management of Tohoku Seimitsu plans to build a management system that will remain stable in the medium and long term. It selected Metal Technology as a trustworthy partner to fulfill its goal of boosting its own corporate value. The two companies had already been discussing possible capital participation but through this project they have agreed to create new value by integrating their core technologies and experience. Metal Technology will participate in the capital of Tohoku Seimitsu, thereby welcoming it into its group.
DBJ, as an advisor to Metal Technology, supported the implementation of due diligence and also provided advice on areas related to the examination of the transaction scheme, including calculation of corporate value, and negotiations of terms and contract. On top of this, DBJ financed a portion of the stock acquisition.
